1. Acceptance of Terms

By using the Site or Services, you represent that you are at least the age of majority in your jurisdiction and are fully able and competent to enter into these Terms and abide by all of the terms and conditions set forth herein.

2. Definitions

“User,” “You,” and “Your” refer to any individual or entity that accesses or uses the Site or Services.

“Service Providers” refers to third-party contractors engaged by Western Outsourcing Inc. to deliver Services.

We may modify or update these Terms from time to time in our sole discretion. When we make changes, we will revise the “Last Updated” date above and post the updated Terms on the Site. Your continued use of the Site after changes are posted constitutes acceptance of those changes.

4. Use of the Services

4.1 License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Site for your personal or internal business use.

4.2 Restrictions

You agree not to:

a. Use the Site in any manner that could disable, overburden, or impair the Site’s infrastructure;
b. Interfere with any other party’s use and enjoyment of the Site;
c. Attempt to gain unauthorized access to any part of the Site or related databases;
d. Use automated systems (bots, spiders, scrapers) to access the Site except with our permission;
e. Copy, distribute, modify, or create derivative works of Content without our express written consent.

5. Account Registration

Some features may require registration and an account (“Account”). You agree to:

a. Provide true, accurate, and complete information;
b. Maintain and promptly update your Account information;
c. Be responsible for all activities that occur under your Account;
d. Keep your password secure and confidential.

We reserve the right to terminate Accounts at our discretion, including Accounts that violate these Terms.

6. Client Engagements and Service Agreements

If you enter into a separate agreement with us for outsourcing, staffing, or other professional services (“Service Agreement”), that agreement governs the provision of those Services. In the event of a conflict between this ToS and a Service Agreement, the Service Agreement controls.

7. Payment Terms

a. Unless otherwise agreed, fees for Services are due according to the billing terms in your Service Agreement.
b. All payments are in USD or as agreed in writing.
c. Late payments may incur interest and collection charges.
d. Taxes applicable to Services are your responsibility unless you provide a valid exemption.

8. Intellectual Property

All materials on the Site, including trademarks, logos, designs, software code, text, graphics, and other Content (“IP”), are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You may not:

a. Reproduce or distribute IP without permission;
b. Use IP in a manner that suggests our endorsement of products/services without consent;
c. Remove or alter trademark, copyright, or other proprietary notices.

9. Data Protection and Privacy

Your privacy rights are governed by our Privacy Policy, which is incorporated herein by reference. By using the Site, you consent to our collection, use, and sharing of your information as described in the Privacy Policy.

10. User Content

If you submit comments, feedback, or other materials (“User Content”):

a. You grant us a non-exclusive, transferable, perpetual, worldwide, royalty-free license to use, reproduce, modify, and distribute User Content.
b. You represent that you own or control all rights to User Content and that it does not violate any law or third-party rights.

We are not responsible for User Content and do not endorse any opinions expressed therein.

The Site may contain links to third-party websites, products, services, or resources. These links are provided for convenience and do not constitute endorsement. We are not responsible for content, privacy practices, or availability of third-party sites.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED “AS IS,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, OR NON-INFRINGEMENT.

We do not guarantee:

a. Continuous, error-free, or secure access;
b. Accuracy, completeness, or reliability of Content;
c. Any specific results from use of the Site or Services.

13. Limitation of Liability

IN NO EVENT SHALL WESTERN OUTSOURCING INC. OR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATING TO THE SITE OR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total aggregate liability for claims arising out of or related to these Terms or the Site shall not exceed the total amounts paid by you to us under any applicable Service Agreement in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Western Outsourcing Inc., its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from:

a. Your breach of these Terms;
b. Your use of the Site;
c. Your violation of any applicable law or third-party rights.

15. Termination

We may suspend or terminate your access to the Site and Services at any time, for any reason, without notice. Upon termination, your rights to use the Site immediately cease. Sections regarding Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Miscellaneous Provisions survive termination.

16. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the United States (U.S.) & Canada, excluding its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for any disputes arising out of or relating to these Terms.

17. Dispute Resolution

a. Informal Resolution: Before initiating litigation, you and we agree to attempt good faith resolution through informal negotiation.
b. Arbitration: Any dispute not resolved informally shall be submitted to binding arbitration in accordance with the rules of a recognized arbitration provider.

18. Miscellaneous

a. Entire Agreement: These Terms constitute the full agreement between you and us relating to the Site and Services.
b. Waiver: Failure to enforce any right does not waive that right.
c. Severability: If any provision is held invalid, the remainder shall remain in effect.
